Three Authorities register, regulate and apply English common law in ADGM:
Registration Authority
Responsible for the registration, incorporation and licensing of legal entities in ADGM and supports with all government-related services;
Financial Services Regulatory Authority
Regulates all financial services entities registered in ADGM and ensure they meet specific obligations set out by the FSRA;
ADGM Courts
Independent courts of the first instance and of appeal, overseeing the jurisdiction of ADGM.
Fintech – RegLab
The ADGM RegLab is the first specially-tailored regulatory framework in the region, which provides a controlled environment for both new market entrants and existing FinTech participants to develop and test innovative FinTech solutions.
The set-up will allow FinTech participants to explore and develop FinTech solutions in a risk appropriate and cost-effective environment.
Special Purpose Vehicles
Special Purpose Vehicles (SPVs) are passive holding companies established for the purpose of isolating financial and legal risk by ring-fencing certain assets and liabilities.
Catering to the needs of a broad range of business types, uses and industry sectors, ADGM’s SPV regime is adopted by businesses, individuals and the advisory community for a wide variety of purposes.
SPVs cannot be used to conduct operational business or hire staff.
All ADGM registered entities are eligible to apply for a Tax Residency Certificate from the UAE Ministry of Finance to benefit from the UAE’s Double Tax Treaty network.
Financial Business
As an International Financial Centre strategically positioned to service the growing economies of the Middle East, Africa and Asia, ADGM provides a wide spectrum of services covering banking, insurance, wealth and asset management, fintech, virtual assets management and capital market activities.
